Cocoa Collective Xchange Terms & Conditions:

Booths must be paid in full before the exhibiting firm is considered to be a confirmed exhibitor/vendor.


We reserve the right to limit multi-level marketers. All registrants are subject to review; we reserve the right to decline a registrant. If your registration cannot be accepted, you will be refunded the cost of the exhibitor space; otherwise, payments are non-transferable, and non-refundable.


All vendor spaces will be assigned at the discretion of the Event Vendor Coordinator.


Exhibitor/Vendor agrees to indemnify and hold Cocoa Collective Xchange, its employees, officers and agents harmless by reason of any claim or liabilities imposed by law on account of property damage or bodily injuries, including death resulting there from, sustained or alleged to be sustained by any person or persons, whether they be members of the public visiting/viewing the show, employees of Cocoa Collective Xchange or other exhibitors/vendors; occurring at or connected with the preparation or presentation of the show, resulting from the sole or contributory negligence of the exhibitor, his agents, employees or persons performing service for it, or resulting from any equipment, machinery or items displayed by exhibitor. Cocoa Collective Xchange will not be responsible for any injury that may arise to exhibitors/vendors, their employees or the general public or for loss or damage to exhibits or exhibitors/vendors’ property by reason of fire, accident, theft or any other cause. If insurance is desired it must be obtained by the individual exhibitor/vendor. Exhibitor/Vendor agrees to maintain such insurance necessary to fully protect Cocoa Collective Xchange from any and all claims of any nature whatsoever, including claims under the Worker’s Compensation Act, and for personal injury, including death, which may arise in connection with the installation, operation or dismantling of the exhibitor’s/vendor’s display. Hanging signs are permitted in Island Booths only and must receive prior approval. The cost of rigging will be paid for by the exhibitor/vendor and be arranged with the onsite provider. Cocoa Collective Xchange does not guarantee sales, participation or visitation by event guests to your booth area.


Exhibitor/vendor agrees that vendor and all persons associated with it shall comply with all rules, policies and procedures prescribed as necessary for the efficient, safe and tasteful (i.e. non-offensive) conduct of the event and related activities. Vendor agrees to sell only the items described in this application. Failure to do so will result in violation of agreement. A fine may be imposed or termination of contract and removal of exhibitor/vendor without reimbursement of any payments made. Vendor agrees to each and all clauses set forth in this agreement. Failure by exhibitor/vendor to abide by any clauses set forth in this agreement gives the right to (1) immediately terminate this agreement (2) require exhibitor/vendor, immediately upon notice of violation of this agreement, to cease operations and vacate the premises, and (3) forfeit any and all fees paid to the event. Vendor shall not display, offer for view or sell any illegal or contraband items. All exhibitors/vendors are also requested to not sell items considered a nuisance or inappropriate. Merchandise exhibitors/vendors will not be allowed to sell any food or beverages, either alcoholic or non-alcoholic. No exhibitors/vendors will be allowed to sell Cocoa Collective Xchange merchandise. Any vendor found selling these items will be fined $1,000.00 which must be paid immediately or vendor booth will be shut down. No exceptions. Food and alcoholic beverage exhibitors/vendors are welcomed with state approved Food Handler’s and Liquor License.


In the event of cancellation of the event, Cocoa Collective Xchange shall be liable only for the refund of exhibitor/vendor fees. Otherwise, ALL exhibitor/vendor registration is non-transferable and non-refundable.


All exhibitors/exhibitors/vendors who conduct sales during the event are responsible for obtaining the appropriate business license(s) and for paying all applicable state and local taxes.


Cocoa Collective Xchange reserves the right to make reasonable changes in the foregoing rules, exhibit/vendor hours and move-in/move-out arrangements.
